Malta Company Formation

The Companies Act, 1995, regulates in Malta limited liability companies. A Maltese limited liability company may be either public or private. A private limited liability company has the following main characteristics:

A shareholding or directorship does not necessarily automatically entitle non-residents to reside or work in Malta. Every non resident wishing to work in Malta needs to apply for a work permit (different procedures apply to EU and non-EU residents).

The shareholders or one of our warranted lawyers via a power of attorney granted by the shareholder may register a Maltese limited liability company. Subscribers may be individuals or corporate. Fiduciary shareholding is also permissible and we may provide such a service through our licenced trustee: Fides Fiduciary Limited.

Once all due diligence has been provided we may incorporate a Maltese company in two days.

Annual returns of a Maltese company are to be filed on a yearly basis and all Maltese companies must file financial statements and carry out an audit of accounts.
